Term Accounts (Net 15 or Net 30)

1. PAYMENT TERMS are cash, check, cashiers check, money order or bank wire transfers. Upon completion of a credit review by Encompass Supply Chain Solutions, Inc. Customer agrees to pay for all goods purchased by customer, including customer's employee or agents net upon receipt of a statement or invoice. All credit lines and extensions are established at the sole discretion of Encompass Supply Chain Solutions, Inc. Credit Department. Encompass Supply Chain Solutions, Inc. invoices and statements are to be paid in USD currency. Failure to do so will cause the unpaid amount to be re-billed.

2. COST OF COLLECTION Customer agrees to pay costs of collection including but not limited to collection agency fees, court costs and reasonable attorney fees incurred in the collection of any unpaid balance whether or not suit is filed. You agree that your transactions with Encompass Supply Chain Solutions, Inc. shall be governed by and construed in accordance with the laws of the State of Georgia at the sole selection of Encompass Supply Chain Solutions, Inc. without giving rise to it's conflicts of law principals. You further agree that any lawsuit between Encompass Supply Chain Solutions, Inc. and yourself shall be brought only in the State or Federal courts of Gwinnett County Georgia at the sole discretion of Encompass Supply Chain Solutions, Inc. You hereby submit to the jurisdictions of any such courts in any disputes with Encompass Supply Chain Solutions, Inc. and you waive any objections to venue being in such courts.

3. INTEREST CHARGES Past due amounts are subject to an interest charge at the rate of 1.5% per month or 18% per annum. Interest Charges commence from the date they are due and payable and continuing to and including date payment is received by Encompass Supply Chain Solutions, Inc.

4. DAMAGES Customer agrees no merchandise will be accepted for return without our prior consent. All claims for discrepancies and damages must be made within 5 days after receipt of goods. All authorized returns must be accompanied with a copy of the invoice that the items were purchased on. Any parts ordered by description only will be the sole responsibility of the buyer. Claims for all packages in transit must be made immediately to the carrier to protect parties' interest, and should also be reported to us as soon as possible. It is ultimately your responsibility to read, familiarize and understand the "General Returns Policy" set forth on the website www.encompassparts.com of Encompass Supply Chain Solutions, Inc.

5. TAX CERTIFICATES If you hold a tax exempt certificate for any state or multiple states, it is your responsibility to forward your certificate to Salestax@encompass.com, or fax 410-510-1120. Any goods purchased without a valid tax certificate filed on your account prior to purchase, will not be tax exempt. It is also your responsibility to notify Encompass Supply Chain Solutions, Inc. when your certificate expires and provide a valid certificate.

6. CONTENT Customer is responsible for payment of all orders placed and orders placed by employees acting on behalf of the business. Both parties agrees that these terms and conditions take precedence in any conflicts with the PO or other agreements unless agreed by both parties in writing. The signor of this application must notify Encompass Supply Chain Solutions, Inc. 30 days prior to vacating position with company, to release liabilities said within.

7. CUSTOMER and Guarantor hereby authorizes Encompass Supply Chain Solutions, Inc. to process and submit any and all charges incurred by Customer for goods purchase or other charges under this agreement to the credit card companies listed on the reversed side with or without Customer's or Guarantor's signature. The above terms represent the entire understanding between the parties, Encompass Supply Chain Solutions, Inc., and customer, and may not be modified unless in writing and signed by an officer of Encompass Supply Chain Solutions, Inc.
